Cross-border crowdfunding transactions

Scientific direction: prof.ssa Francesca Villata

Language: English
Duration: 20 hours
Enrolment: self-paced, unlimited subscription

Description: This course addresses the relevant legal framework for resolving conflicts of law and jurisdiction issues arising from crowdfunding cross-border transactions, as crowdfunding represents an alternative financing opportunity of growing importance within the European and Italian market. Notably, the number of cross-border transactions delivered through crowdfunding platforms are expected to drastically increase in the near future among EU market players, due to the most recent EU legislative initiatives. Hence, to boost the cross-border provision of crowdfunding services among the EU market players, the EU institutions adopted Regulation (EU) 2020/1503, which Italy implemented through Legislative Decree 10 March 2023 No 30, in force from 8 April 2023.
The course aims to equip students with the necessary skills to address the main challenges posed by crowdfunding cross-border transactions. For this purpose, it will address the relevant legal framework regarding crowdfunding and crowdinvesting transactions, with a focus on the European and Italian legal framework. Moreover, it will provide students with a basic knowledge of the tools needed to assess the contents of the main types of contracts used in international trades, as well as the most frequent consequences arising out of international contracts, which are also relevant for crowdfunding transactions. On the basis of the knowledge acquired, students will be finally able to successfully address the new challenges posed by crowdfunding cross-border transactions.

The course consists of 5 Modules:
1. Presentation of the course
2. An introduction to crowdfunding and crowdinvesting
3. Jurisdiction in crowdfunding transactions
4. Applicable law in crowdfunding transactions
5. Agreements on jurisdiction and applicable law in crowdfunding transactions

Learning objectives:
This course will equip students with the necessary skills to face the main challenges posed by cross-border crowdfunding transactions, an alternative source of financing of growing importance in the European and Italian market. To this end, they will learn to use the correct terminology of international contract law and become familiar with the legal institutions of private international law relevant to crowdfunding transactions.
Thanks to the engaging activities proposed, they will learn how to solve legal issues related to crowdfunding transactions in practice by applying the rules and regulations studied during the course. In other words, students will not only know the content of the rules applicable to each case, but will also be able to identify such rules in a real case scenario, as they will learn to navigate through the stratified system of legal texts adopted at national and supranational level with regard to international contracts. Lectures will focus on the practical aspects of the subject. With these legal skills, students will be able to work in international contexts, in particular for companies operating on an international scale.

Concepts and methods in international relations

Scientific Supervisor: Prof. Alessandro Colombo
Instructors: Dr. Martino Tognocchi and Dr. Edoardo Landoni
N. hours: 20 (10 meetings)
Max. no. participants: 30
Eligible participants: students from GOV, IPLE, REL and SIE

N. ECTS: for GOV, IPLE and SIE students, 3 ECTS as “further training activities” (“ulteriori attività formative”); for REL students, 3 ECTS as “elective courses” (“crediti a scelta libera”)

Final evaluation: attendance (at least 75%) and project activity or academic essay (“passed or fail”)

Learning objectives: The overall objective of the course is to introduce students to research in International Relations, by focusing on different approaches. Throughout the course, students will familiarize with some of the key concepts in International Relations and with the main components of an effective research design; next, they will be presented with an overview of the most widely used qualitative and quantitative methods in International Relations and they will examine how these methods have been applied to fundamental research questions in the literature; finally, they will have the opportunity to put these concepts and methods into practice by undertaking the challenge of developing an original research proposal that reflects the structure of an academic research project. No previous knowledge of qualitative techniques and statistical analysis is required.

Expected results: Students are expected to possess the fundamental toolkit to theoretically and critically engage with concepts and ideas in the discipline of International Relations, and to possess the proper knowledge to independently conduct empirical research. The laboratory aims at providing students with basic tools to formulate a research question and develop the research design for their final dissertation.
Content of the course: The course is divided into three parts. The first part deals with some of the key IR concepts to problematize the intellectual building blocks upon which the discipline is constructed and represented. To do so, concepts ‘anarchy’, ‘enmity’, and ‘society’ are analysed with a critical and genealogical approach to emphasize the contextual and historical situatedness of such concepts. Specific readings (available beforehand online) are required as preparatory materials before each class. The second part introduces the core components of an effective research design in IR and presents the major research methods and related techniques used in the field. Finally, the third part engages students in a hands-on experience, guiding them through the process of formulating and structuring an IR research proposal.

Evaluation criteria: Students can either write an academic essay (3.000 words max) on a topic discussed and agreed in advance with the instructors or a research proposal (3.000 words max). This option involves crafting a structured proposal that mirrors the key components of an academic research study. Students will define a research puzzle, articulate precise research questions and hypotheses, conduct a brief literature review, outline their methodological approach and data collection plan, and provide an estimated timeline. This exercise enables students to select the most appropriate methods from those covered in the course based on their specific research question, gaining practical experience in developing a well-founded research design. In both cases, the final assignments must be submitted to the instructors by July 1st 2025.

Registration: To register for the course, students are required to fill in this form before April 22, 2025. For further information, please contact the instructors via email (martino.tognocchi@unimi.it; edoardo.landoni@unimi.it).

Understanding the politics of care

October 2024 – December 2024
Scientific Supervisor: Prof. Enzo Colombo
Instructors: Dr. Camille Allard
N. hours: 20 (10 meetings)
N. maximum participants: 20
Eligible participants: students from REL, GPS, PPPA and GLO
N. ECTS: 3 ECTS as “further training activities” (“ulteriori attività formative”)
Final evaluation: attendance (at least 75%) and class presentation.
How to register: Interested students must send an email to camille.allard@unimi.it, by September 15, 2024.

Learning objectives: The Covid-19 outbreak has shone a light on the importance of ‘care work’, in maintaining the functioning of our society, and the essential role of those performing this work. ‘Care’ has also been at the forefront of social movements, such as the women’s strikes in 2018 and 2019. ‘Care’ is also now increasingly part of ecological and social justice movements agendas, calling for a better and fairer world, and better care towards the environment. In many different aspects, ‘care’ seems to be at the heart of the concerns of the new generations. Simultaneously, however, more and more organizations such as business companies call themselves ‘caring’, and more marketing strategies exploit the idea of ‘self-care’ to sell their products. In this laboratory, we will review the origins and evolutions of the concept of ‘care’, looking at its ambivalent position in feminist debates, and we will analyze its political and social importance nowadays.

Obiettivi:.
